1. Acceptance of Terms
By accessing or using the OrderSync service (“Service”) provided by OrderSync LLC, a Texas limited liability company (“Company,” “we,” “us,” or “our”), you (“Customer,” “you,” or “your”) agree to be bound by these Terms of Service (“Terms”). If you do not agree, you may not access or use the Service.
2. Service Description
OrderSync is a software-as-a-service (SaaS) platform that automates procurement and order submissions between retailers and suppliers (including distributors and OEMs). The Service uses a combination of automation, artificial intelligence (AI), and human operations to:
- Extract and match retailer order data to supplier/OEM SKUs.
- Log into supplier/distributor portals or connect via EDI/API to submit orders on behalf of the retailer.
- Provide order status and basic retailer invoice data.
3. Fees and Payment
- Fees are set forth in your Service Agreement and will be billed automatically to the payment method on file.
- All fees are non-refundable.
- OrderSync reserves the right to adjust fees with at least seven (7) days’ written notice. Continued use of the Service after such notice constitutes acceptance of the new fees.
4. Order Submission and Modifications
Once an order is submitted to a supplier or OEM:
- The responsibility for changes, cancellations, or modifications lies solely with the retailer.
- OrderSync is not responsible for post-submission changes requested by the retailer’s customers.
5. User Authorization
By subscribing, you represent and warrant that:
- You have the authority to enter into this agreement on behalf of the retailer.
- The individual initiating the subscription has authority to authorize payments and use of the Service.
